Please read these Terms of Service carefully before using Gyata. By accessing or using our platform, you agree to be bound by these terms. If you disagree with any part, you may not access our services.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Gyata Infotech LLP ("Gyata", "we", "us", "our") governing your access to and use of the Gyata platform, including our website, applications, and all related services (collectively, the "Services").
By creating an account or using our Services, you confirm that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
Gyata provides a creator monetization platform that enables content creators to:
- Connect their YouTube channels and extract product mentions using AI technology
- Create and customize digital storefronts
- Sell digital products, courses, memberships, and services
- Manage bookings and consultations
- Track analytics and revenue
- Process payments through integrated payment providers
3. Account Registration
3.1 Account Creation
To use certain features of our Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities under your account
3.2 Account Termination
We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion with reasonable notice.
4. YouTube Integration
By connecting your YouTube channel to Gyata, you:
- Authorize us to access your public channel data and video metadata through the YouTube API
- Understand that we use read-only access and never post or modify content on your behalf
- Agree to comply with YouTube's Terms of Service and Community Guidelines
- Acknowledge that product extraction is AI-assisted and may require manual verification
You can revoke Gyata's access to your YouTube data at any time through your Google Account settings.
5. User Content
5.1 Your Content
You retain ownership of all content you upload, create, or share through our Services ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute such content solely for the purpose of operating and improving our Services.
5.2 Content Responsibility
You represent and warrant that your User Content:
- Does not infringe any third-party intellectual property rights
- Complies with all applicable laws and regulations
- Does not contain harmful, fraudulent, or misleading information
- Does not promote illegal activities or violate anyone's rights
5.3 Prohibited Content
You may not upload, sell, or promote:
- Illegal products or services
- Counterfeit or pirated goods
- Adult or sexually explicit content
- Weapons, drugs, or regulated substances
- Hate speech or discriminatory content
- Content that exploits minors
- Misleading health claims or medical advice
6. Payments and Fees
6.1 Payment Processing
All payments on Vigyata are processed by Paddle.com Market Limited ("Paddle"), our Merchant of Record. Paddle handles billing, tax compliance, currency conversion, and payment processing on our behalf. By purchasing a subscription or token pack, you agree to Paddle's Terms of Use and Privacy Policy.
6.2 Subscription Plans
Vigyata offers tiered subscription plans (Crew, Producer, Showrunner) as described on our Pricing page. Subscriptions are billed monthly and renew automatically. You may cancel at any time; cancellation takes effect at the end of the current billing period.
6.3 Vigyata Tokens
Vigyata Tokens power AI features on the platform. There are two types of token balances:
- Subscription Tokens: Included with your plan each month. These reset (expire) on each billing renewal and do not carry over.
- Purchased Tokens: Bought via recharge packs. These never expire and accumulate across purchases.
Subscription tokens are consumed first; purchased tokens are used only after subscription tokens are exhausted.
6.4 Pricing and Taxes
All prices are listed in USD. Applicable taxes (VAT, GST, sales tax) are calculated and collected by Paddle based on your location. The final amount charged may include these taxes.
6.5 Refunds
Please see our Refund Policy for full details. In summary: subscription fees may be refunded within 7 days of initial purchase if you have not used a significant portion of your monthly tokens. Token recharge packs are non-refundable once tokens have been credited to your account. All refund requests are processed through Paddle.
7. Intellectual Property
7.1 Gyata's Intellectual Property
The Gyata platform, including its design, features, code, trademarks, and content (excluding User Content), is owned by Gyata Infotech LLP and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
7.2 Feedback
If you provide feedback, suggestions, or ideas about our Services, you grant us the right to use such feedback without restriction or compensation.
8. Privacy
Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with GDPR and DPDP regulations.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that:
- The Services will be uninterrupted, secure, or error-free
- AI-extracted product information will be 100% accurate
- You will achieve any specific level of revenue or success
- Third-party integrations will always function correctly
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GYATA INFOTECH LLP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.
Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Gyata Infotech LLP and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Services
- Your User Content
- Your violation of these Terms
- Your violation of any third-party rights
12. Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
12.2 Arbitration
Any disputes arising from these Terms shall be resolved through binding arbitration in Gurgaon, India, in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English.
12.3 Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.
13. Changes to Terms
We may modify these Terms at any time. Material changes will be notified via email or platform notification at least 30 days before taking effect. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
14. Miscellaneous
- Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Gyata.
- Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
- Waiver: Our failure to enforce any right does not waive our right to do so in the future.
- Assignment: You may not assign your rights under these Terms without our consent.
